Terms of Service

1. Acceptance of Terms

By creating an account or using ForEach's software ("Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you're accepting on behalf of a studio, business, or property ("you," "Customer"), you confirm you have authority to bind that business.

2. Who We Are, What We Provide

The Service is operated by PT Fondasi Inovasi Digital ("ForEach"), an Indonesian limited liability company domiciled in Bandung, Indonesia. We provide software-as-a-service products for:

  • Pilates — studio scheduling, booking, membership, payment, and reporting management.
  • Kos-kosan — boarding-house/rental property management (in active development; not yet offered to paying customers).

Our direct customer relationship is with the Studio or Property Owner, not with their individual members, students, or tenants (see §6).

3. Accounts and Eligibility

  • You must be at least 18 years old and using the Service in a business or authorized capacity to create a Studio/Property Owner account.
  • You're responsible for keeping your login credentials confidential and for all activity under your account.
  • Staff accounts you invite inherit access only to the permissions you grant them (role-based access control); you're responsible for managing who has access to what within your organization.

4. Subscription and Billing

  • Studio/Property Owner subscriptions are managed through the ForEach Internal Console. Billing may be handled manually (invoice + confirmation) or, where enabled, via automated charge through a supported payment gateway.
  • Fees, billing cycle, and payment method are as agreed at signup or as later communicated by ForEach.
  • Non-payment may result in service suspension after reasonable notice. We don't delete your data immediately on suspension — see §11 for the data-retention window on termination.

5. Your Members'/Tenants' Payments Are Not Ours

When your members or tenants pay you (for classes, packages, or rent) through a payment gateway integration you've opted into (Midtrans/Xendit), that transaction runs on your own merchant account, not ForEach's. ForEach never holds, custodies, or has access to those funds — we facilitate the technical connection only. Disputes about those payments are between you and your payment provider or your member/tenant, not ForEach.

6. You Are the Data Controller for Your Members/Tenants

This is the most important clause in these Terms, so we're stating it directly rather than in a footnote: when you enter or collect personal data about your members, students, or tenants using the Service, you are the data controller for that data under Indonesian law (UU PDP 27/2022), and ForEach acts only as your data processor. This means:

  • You are responsible for having a lawful basis (consent, contract, etc.) to collect and process your members'/tenants' personal data, including sensitive fields like date of birth, gender, or health notes if you choose to record them.
  • You are responsible for responding to your members'/tenants' own data-subject requests (access, correction, deletion) in the first instance; we'll support you technically (e.g., providing an export or deletion mechanism) but the legal obligation to respond is yours.
  • ForEach will process that data only as instructed by you, through the Service's normal functionality, and will apply the security measures described in our Privacy Policy.
  • If you stop using the Service, you remain responsible for your own copy/export of your members'/tenants' data before your access ends.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, or to store data you don't have a lawful right to process.
  • Attempt to bypass access controls, rate limits, or bot-defense mechanisms.
  • Resell, sublicense, or provide third-party access to the Service outside your own organization without our written agreement.
  • Upload malicious content or attempt to disrupt the Service for other tenants.

We reserve the right to suspend accounts engaged in abuse, at our reasonable discretion, with notice where practicable.

8. Service Availability

  • ForEach currently runs on infrastructure we operate ourselves (self-hosted servers with Cloudflare-fronted edge/storage). We do not currently offer a formal uptime SLA. We aim for high availability and have automated recovery for common failure modes, but as an early-stage product, occasional downtime is possible.
  • We'll make reasonable efforts to notify Studio/Property Owners of planned maintenance or known incidents affecting their account.

9. Intellectual Property

  • ForEach owns all rights to the Service's software, design, and branding. Nothing in these Terms transfers that ownership to you.
  • You retain ownership of the data you and your members/tenants enter into the Service ("Customer Data"). We claim no ownership over it and use it only to provide the Service, per our Privacy Policy.

10. Fair Use of AI / Automation Features

Where the Service uses automated or AI-assisted features (e.g., notification drafting, scheduling suggestions), you remain responsible for reviewing outputs that reach your members/tenants before they're sent, where the feature is designed for human review (draft-only automation). We will clearly label which features send automatically versus which require your approval.

11. Termination

  • You may cancel your subscription at any time; access continues through the end of the paid period.
  • We may terminate or suspend your account for material breach of these Terms, non-payment after notice, or legal requirement.
  • On termination, we retain your data for a reasonable window to allow export/recovery, then it is scheduled for deletion — the specific retention window is being finalized as part of our broader data-retention policy (see our Privacy Policy §8) and will be communicated before enforcement.

12. Disclaimers and Limitation of Liability

  • The Service is provided "as is." To the maximum extent permitted by Indonesian law, ForEach disclaims implied warranties of merchantability or fitness for a particular purpose.
  • ForEach's total liability for any claim arising from the Service is limited to the fees you paid us in the 3 months preceding the claim, except where liability cannot be limited by law (e.g., gross negligence, willful misconduct).
  • ForEach is not liable for disputes between you and your members/tenants, or between you and a third-party payment/messaging processor you've opted into.

13. Indemnification

You agree to indemnify ForEach against claims arising from your unlawful use of the Service, your breach of these Terms, or your failure to meet your data-controller obligations under §6.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Indonesia. Any dispute not resolved informally will be subject to Indonesian courts of competent jurisdiction.

15. Changes to These Terms

We'll post the effective date of any material change here and notify active Studio/Property Owners directly for changes that materially affect their rights or obligations.
